Terms of Service

1. Introduction & Acceptance
wehna is a community-management platform operated by Innovelox Ltd. (“we”, “us”, “our”). wehna helps associations, alumni groups, cooperatives, professional bodies, student unions, town development associations, and savings circles manage their members, collect dues, run elections and polls, host events, publish announcements, maintain a public page, and any other service we may render in the future. These Terms of Service (“Terms”) govern your access to and use of the wehna platform, website, and related services.
wehna is built for how communities actually operate in Nigeria and across Africa. By creating an account, accessing the platform, or using any wehna service, you agree to be bound by these Terms. If you do not agree, do not use wehna.
If you are accepting these Terms on behalf of an association, organisation, or other entity, you represent that you have the authority to bind that entity to these Terms.
2. Definitions

| Event | A gathering, meeting, or activity organised by an association through wehna, with optional RSVPs and free or paid ticketing |
| Platform | The wehna web application, APIs, public association pages, and all related services |
3. Account Registration & Responsibilities
wehna uses a single global identity: one account gives you access to every association you belong to. You can sign up with email and password or through Google or Apple single sign-on. To use wehna, you agree that:
- You are at least 18 years of age
- The information you supply is true, complete, and accurate
- You will supply any other information that may be needed in line with legal or regulatory provisions
- You will use appropriate measures to keep your account and information secure and private at all times, and notify us promptly at hello@wehna.app if you suspect unauthorised access
- If you create an account or use this platform on behalf of another entity, you confirm that you are authorised to accept these Terms on their behalf
- You are responsible for all activity and transactions under your account credentials, except to the extent caused by wehna's failure to maintain reasonable security. You must notify us promptly at hello@wehna.app of any suspected unauthorised access; wehna is not liable for losses arising from your failure to safeguard your credentials or to notify us promptly
- You agree to receive communications such as emails, notices, and in-app messages from wehna and to respond accordingly
For the avoidance of doubt, Innovelox Ltd. shall not be held responsible for any issues, damages, or losses arising from your failure to fulfil these responsibilities.
4. Associations, Roles & Ownership
An Association is the core tenant on wehna. Each association has its own members, dues, elections, events, announcements, and a public page at wehna.app/a/[slug]. The person who registers an association becomes its super_admin.
Access to association features is governed by role-based access control. System roles are assigned and enforced on every association-scoped action:
- super_admin — full control of the association, including members, settings, dues configuration, roles, and ownership transfer
- treasurer — manages dues, payments, and financial records
- secretary — manages announcements, events, and member communications
- executive— elevated access to help run the association's day-to-day activities
- member — a standard member of the association
Association ownership
The super_admin holds ultimate control of the association account. If the super_admin steps down or leaves the association, it is their responsibility to transfer ownership to another authorised member before departing. wehna is not responsible for loss of access resulting from a failure to transfer ownership in time.
wehna operates on a shared, multi-tenant basis: every association's data is isolated and scoped to that association. wehna reserves the right to remove or restrict access to any content that violates these Terms or applicable law, with reasonable notice where practicable.
5. wehna's Role & Your Relationship with Associations
wehna provides software only. We supply the tools an association uses to manage its members, dues, elections, events, and communications — nothing more.
- Innovelox Ltd. is not a party to any agreement, membership relationship, constitution, bylaw, or dispute between an association and its members, or among members
- wehna has no obligation to mediate, arbitrate, or adjudicate any such dispute, and any decision to assist is entirely at our discretion
- wehna is not an agent, broker, trustee, escrow, or fiduciary for any association or member, and holds no such role in relation to their funds, decisions, or affairs
Release
To the maximum extent permitted by applicable law, you release Innovelox Ltd. and its affiliates from all claims, demands, and damages arising out of or connected with any dispute between you and any association, administrator, or member.
The feature-specific statements in the Dues, Elections, and Events sections describe how this software-only role applies to each part of the platform and continue to apply in full.
6. Fees
The wehna platform is currently offered free of charge. Free access is not guaranteed to continue.
- Innovelox Ltd. may introduce or change fees, plans, or usage limits on at least 30 days' notice, sent by email to affected users, and — for association-level fees — to the association's super_admins
- Continued use of the platform after the effective date of any such change constitutes acceptance of the new fees, plans, or limits
- You have no entitlement to any feature, plan, or level of access remaining free of charge
7. Dues, Payments & Paystack
wehna provides tools that allow associations to configure, collect, and record dues. Dues may be mandatory or voluntary and one-time or recurring. By using wehna's dues and payment features, you acknowledge and agree to the following:
wehna is not a bank
Innovelox Ltd. is not a bank, money transmitter, payment service provider, or licensed financial institution, and is not licensed by the Central Bank of Nigeria. wehna never holds, controls, or takes custody of members' or associations' funds at any point. All online payments are processed by Paystack, an independent CBN-licensed payment processor, and are settled directly to the association's own bank account through its verified subaccount. Any claim relating to the processing, settlement, or holding of funds lies against Paystack or the association, not wehna. Manual cash or transfer entries are record-keeping only and do not represent receipt of money by wehna. Refunds and chargebacks for dues are matters between the member, the association, and Paystack.
wehna's role
- wehna is a platform provider — we facilitate the recording of dues and the initiation of payments through Paystack, but are not a party to any payment between a member and an association
- Online dues are processed by Paystack Connect, a licensed payment processor. Funds are settled directly to the association's verified subaccount
- Associations may also record dues paid by cash or bank transfer manually. The accuracy of manually recorded payments is the association's responsibility. wehna does not verify manually recorded payments
- Platform and payment-processor fees may apply to online transactions. By collecting dues online, you also agree to Paystack's Terms of Service
- You are responsible for all applicable taxes on funds you collect, and for reporting them to the relevant authorities
Recurring dues & refunds
- Members may set up recurring dues via Paystack. By doing so, you authorise periodic charges to your selected payment method until you cancel
- wehna is not responsible for failed recurring charges due to expired cards, insufficient funds, or other payment issues
- Refunds are initiated by an association admin and processed through Paystack. wehna facilitates the refund workflow but does not make refund decisions — the association determines whether a refund is warranted
- Refund and settlement processing times depend on Paystack, the association, and the member's financial institution
Dues ledgers and payment histories on wehna are convenience records maintained for the association; the association's own books remain the authoritative record. We are not liable for losses or issues arising from payment processing delays, third-party failures, refund processing delays, system or technical issues, or any other circumstances beyond our control.
8. Elections & Voting
wehna provides tools that allow associations to create and run elections, polls, and votes — including candidate nominations, ballots, and result tallying. By using wehna's elections features, you acknowledge and agree to the following:
- wehna is a platform provider — we provide the voting mechanism but do not organise, supervise, certify, or adjudicate any election
- The association is solely responsible for defining its election rules, voter eligibility, candidate eligibility, and voting period, in line with its own constitution, bylaws, and applicable law
- A tally on wehna is a record of the ballots cast through the software as configured by the association. It is not a certification, official declaration, or legal determination of any result. The association is responsible for verifying and formally adopting results under its own constitution
- The confidentiality and visibility of votes and results depend on the settings chosen by the association's administrators. The association is responsible for configuring these appropriately
- wehna may rely entirely on the voter rolls, eligibility settings, and configuration entered by administrators, and does not warrant that any election will be free from error or interruption (see the Disclaimer of Warranties)
- The association is responsible for resolving any dispute among its members regarding an election's conduct, eligibility, or outcome. wehna is not a party to such disputes
Election disputes
Associations must maintain their own dispute and appeal process. Platform records are not conclusive evidence in any election dispute. To the maximum extent permitted by applicable law, the exclusive remedy for a platform malfunction affecting a vote is re-running the affected poll at no charge.
9. Events, RSVPs & Ticketing
wehna provides tools that allow associations to create and manage events — including RSVPs, free and paid ticketing, and attendee check-in. By using wehna's events features, you acknowledge and agree to the following:
wehna's role
- wehna is a platform provider — we facilitate event creation, RSVPs, ticket sales, and attendee management, but are not an organiser or co-host. The association is solely responsible for the planning, execution, and outcome of its events
- Paid ticket purchases are processed by Paystackand settled to the association's verified subaccount. Platform and processing fees may apply
Association responsibilities
- The association is responsible for the accuracy of all event information — including dates, times, locations, descriptions, ticket prices, and any terms communicated to attendees
- The association must ensure that its events comply with all applicable laws, regulations, venue requirements, and safety standards in its jurisdiction
- The association is responsible for fulfilling its obligations to attendees, including providing the event as described or offering appropriate remedies (refunds, rescheduling) if the event is cancelled or materially changed
Ticket refunds & disputes
- Refund policies for event tickets are determined by the hosting association, not by wehna. Attendees are advised to contact the association's admin directly where a refund is needed
- For paid tickets, refunds are processed through Paystack, subject to Paystack's processing timelines
- wehna is not responsible for disputes between an association and its attendees regarding ticket availability, event cancellations, or the quality of the event experience
- wehna shall not be liable for any issues, losses, refunds, damages, or injuries arising from events organised by an association, or for its failure to perform due to situations beyond reasonable control, including natural disasters, government actions, or public health emergencies
10. Association Data Ownership
Your association owns its data. All member records, dues history, election and poll data, event registrations, announcements, and other content entered by your team belong to your association.
- wehna acts as a data processor (as defined in the Nigeria Data Protection Act 2023) for association member data — we process it on your behalf to provide the service
- We do not sell, share, or use your association's data for any purpose beyond operating the platform
- Where the feature is available, you can export your data from the platform. We encourage exporting your data before requesting account deletion
- Upon account deletion, association data is permanently deleted in accordance with our data retention practices. wehna shall not be held liable for any losses arising from account deletion
As the data controller under the NDPA, your association is responsible for ensuring it has an appropriate legal basis for collecting and storing personal data, and for responding to data subject rights requests from members. See our Privacy Policy for details on how wehna handles data.
Association warranty
Your association represents and warrants that, for all member data it enters or uploads, it has a lawful basis under the NDPA, has given members any notices required by law, and — for any member under 18 — has first obtained verifiable consent from a parent or legal guardian as required by section 31 of the NDPA.
11. Acceptable Use
You agree not to use wehna to:
- Violate any applicable law, regulation, or third-party right
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to other associations' data, other user accounts, or wehna's infrastructure
- Use the platform for fraudulent collection of dues, money laundering, or any financial crime
- Manipulate an election, impersonate a member, or otherwise interfere with the integrity of a vote
- Send unsolicited bulk messages or spam through wehna's announcement or email features
- Resell, sublicense, or redistribute access to wehna without our written consent
- Misrepresent your identity or your authority to act on behalf of an association
In addition, you agree not to:
- Modify, lease, or copy any of our services
- Reverse-engineer, decompile, create derivative works, or attempt to discover the source code or underlying components of wehna, except to the extent this restriction is prohibited by applicable law
- Interrupt or disrupt our services, circumvent usage limits, or bypass any protective measures we put in place, or attempt to do so
Sanctions & financial-crime compliance
You represent that you are not on any applicable sanctions list, including those maintained by the United Nations, the US Office of Foreign Assets Control (OFAC), the United Kingdom, the European Union, or Nigeria. You agree not to use the platform for money laundering or terrorism financing within the meaning of the Money Laundering (Prevention and Prohibition) Act 2022 and the Terrorism (Prevention and Prohibition) Act 2022. wehna may suspend or terminate your access, require verification information from you, and report to competent authorities or to Paystack where legally required.
Violation of these terms may result in immediate suspension or termination of your account without notice or refund.
12. Intellectual Property
The wehna platform — including its name, logo, design, code, documentation, and all related materials — is the intellectual property of Innovelox Ltd. and is protected by applicable copyright and trademark laws.
- Your use of wehna grants you a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose
- You retain full ownership of all data and content you upload to wehna (see Section 10)
- You grant Innovelox Ltd. a worldwide, non-exclusive, royalty-free licence, with the right to sublicense to our service providers (hosting, CDN, image processing), to host, store, reproduce, adapt (for example, resizing or transcoding images), publish, and display your content in order to operate, provide, and promote the platform — including displaying public-page content in search results and platform directories. The licence ends when your content is deleted, subject to residual backup and cache copies purged on our normal schedule
- You may not use the wehna name, content, logo, or branding except as required for normal use of the platform and in line with applicable laws
- Any feedback, suggestions, or ideas you provide may be used by wehna without restriction or compensation
- Certain components of the platform may include third-party intellectual property, which remains the property of its respective owners
13. Third-Party Services
wehna integrates with third-party services to deliver its functionality. Your use of wehna is subject to the terms and policies of these providers:

- wehna is not responsible for the availability, accuracy, or conduct of any third-party service
- If a third-party service experiences an outage or discontinues operations, affected wehna features may be temporarily unavailable. We will work to restore functionality as quickly as reasonably possible
- Data shared with third parties is governed by both our Privacy Policy and the respective provider's privacy policy
- wehna shall not be liable for any data breach, loss, or damage arising from third-party services beyond its control
14. User-Generated Content & Content Standards
You and your team upload content to wehna — including member records, dues data, announcements, event listings, public page content, images, and notes. You are solely responsible for:
- The accuracy, legality, and appropriateness of all content you upload
- Ensuring you have the right to collect, store, and process any personal data entered into the platform, and for obtaining any necessary consents from the individuals concerned
Public content — including an association's public page, event listings, and announcements — is publicly visible and represents both the association and the wehna platform. wehna reserves the right, in its sole discretion, to review, remove, unpublish, or restrict any content that:
- Violates these Terms or applicable law
- Contains misleading, fraudulent, defamatory, or deceptive material
- Promotes violence, hatred, discrimination, or harassment
- Infringes on the intellectual property or privacy rights of any third party
- Is otherwise harmful to the wehna community, its users, or the platform's reputation
Content takedowns
Where possible, wehna will notify the association's admin before or promptly after removing content, and provide an opportunity to address the concern. In cases of clear or serious violations (e.g. fraud, illegal activity, or hate speech), content may be removed immediately without prior notice.
Complaints & infringement
If you believe content on wehna infringes your rights or violates these Terms, send a complaint to hello@wehna.app. On a valid notice, we will remove or disable access to the content concerned. Users who repeatedly infringe the rights of others may have their accounts terminated.
15. Service Availability & Modifications
We strive to keep wehna available and reliable, but we do not guarantee uninterrupted or error-free service.
- The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. You are responsible for maintaining independent backups of critical data
- We may modify, add, or remove features at any time. For material changes that reduce existing functionality, we will provide reasonable notice via email or in-app notification
- Third-party service outages (for example, Paystack, SendGrid, or hosting providers) may affect platform functionality. wehna is not liable for disruptions caused by third-party services
Beta & experimental features
From time to time, wehna may offer access to new, experimental, or beta features for testing and evaluation. These features are provided “as is” and may be incomplete, contain errors, or be subject to change or discontinuation at any time without notice. wehna makes no representations or warranties regarding the reliability, availability, or performance of beta features.
16. Chargebacks & Payment Disputes
- wehna only facilitates payments and does not process or hold funds. We are not responsible for payment disputes, chargebacks, or reversals initiated by members or financial institutions
- The association is solely responsible for responding to chargebacks, providing supporting documentation, and complying with any requirements imposed by the payment processor or financial institutions
- wehna reserves the right to suspend or restrict access to payment-related features where excessive chargebacks, suspected fraud, or misuse of the platform is detected
17. Disclaimer of Warranties
THE PLATFORM, INCLUDING ALL SOFTWARE, FEATURES, AND CONTENT, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
- To the maximum extent permitted by applicable law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy
- We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that any data will not be lost or corrupted
- No oral or written advice or information obtained from wehna or through the platform creates any warranty not expressly stated in these Terms
Some laws do not allow the exclusion of certain warranties; where that applies, these exclusions apply to the maximum extent permitted by law and your non-waivable statutory rights are unaffected.
18. Limitation of Liability
To the maximum extent permitted by applicable law:
- Innovelox Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or opportunities
Aggregate liability cap
Our total aggregate liability for all claims arising out of or relating to these Terms or the platform shall not exceed the greater of (a) the total fees you paid to wehna in the twelve (12) months preceding the event giving rise to the claim, and (b) ₦50,000 (fifty thousand Naira). The exclusions and this cap apply regardless of the theory of liability — whether in contract, tort (including negligence), statute, or otherwise — and even if any limited remedy fails of its essential purpose.
Statutory rights (FCCPA)
Nothing in these Terms excludes, restricts, or modifies any right, remedy, guarantee, warranty, or other term that cannot lawfully be excluded or limited under applicable law, including the Federal Competition and Consumer Protection Act 2018. Where liability cannot be excluded, it is limited to the maximum extent permitted by law.
Financial data disclaimer
wehna is not liable for the accuracy of dues records, payment histories, or financial summaries generated by the platform. These are based on data entered or recorded by association administrators and should be independently verified. wehna is not responsible for any tax liability, audit finding, or financial loss arising from reliance on platform-generated records. Dues ledgers, payment histories, member records, and financial summaries are maintained for the association's convenience, based on data entered by administrators or reported by Paystack; the association's own books are the authoritative record. A platform entry is not, by itself, proof of payment or non-payment between a member and an association. Members must resolve record discrepancies with their association directly.
19. Indemnification
You agree to indemnify, defend, and hold harmless Innovelox Ltd., its directors, officers, employees, shareholders, agents, affiliates, and successors and assigns from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the platform or violation of these Terms
- Your association's collection, use, or handling of member personal data
- Disputes between your association and its members regarding dues, refunds, or the use of collected funds
- Disputes arising from an election, event, or announcement run through the platform
- Inaccurate financial or member records created using the platform
- Any claim by a third party arising from content you upload or actions you take through the platform
wehna will notify you of any claim to which this indemnity applies. wehna may, at its option, assume sole control of the defence and settlement of the claim at your expense, or require you to defend it with counsel reasonably acceptable to wehna. You may not agree to any settlement that imposes an obligation or admission on wehna without wehna's prior written consent. You agree to provide reasonable cooperation in the defence of any such claim.
20. Termination
By you
You may close your wehna account at any time by contacting us at hello@wehna.app. We recommend exporting your data before requesting account closure. If you hold the super_admin role for an association, you should transfer ownership before closing your account.
By us
wehna may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or the Acceptable Use policy (Section 11)
- Your account is used for fraudulent, illegal, or harmful activities
- Required by law, regulation, or a court order
wehna may also terminate or discontinue the service, or your access to it, for convenience on at least 30 days' notice. wehna may suspend access during an investigation without liability.
Effect of termination
- Your right to access the platform ceases immediately upon termination
- Your data will be available for export for 30 days after termination, after which it may be permanently deleted without further liability, except where applicable law requires retention
- Sections that by their nature should survive termination will survive, including Sections 2 (Definitions), 5 (wehna's Role & release), 10 (Association Data Ownership), 12 (Intellectual Property), 16 (Chargebacks & Payment Disputes), 17 (Disclaimer of Warranties), 18 (Limitation of Liability), 19 (Indemnification), 21 (Governing Law & Dispute Resolution, including the 12-month time bar), and 24 (General Provisions), together with any other provision that by its nature should survive
21. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising from or relating to these Terms shall first be addressed through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be finally resolved by binding arbitration under the Arbitration and Mediation Act 2023, seated in Lagos, Nigeria, before a single arbitrator appointed in accordance with the Act, conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. The parties consent to arbitration electronically by accepting these Terms.
Nothing in this section prevents either party from:
- Lodging a complaint with the Federal Competition and Consumer Protection Commission (FCCPC) or the Nigeria Data Protection Commission (NDPC), or exercising any non-waivable statutory right
- Seeking urgent injunctive or equitable relief from a court of competent jurisdiction
- Bringing a qualifying claim in a small-claims court
To the extent permitted by applicable law, disputes are resolved on an individual basis, without limiting your right to lodge a complaint with the FCCPC or NDPC.
Time bar
To the extent permitted by applicable law, any claim arising out of these Terms or the platform must be commenced within twelve (12) months after the claim accrues, or it is permanently barred.
22. Force Majeure
Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to:
- Internet, telecommunications, or power failures
- Payment-network or processor outages
- Acts of God, epidemics, civil unrest, or strikes
- Government action or failures of third-party services
The affected party will resume performance as soon as reasonably practicable. Payment obligations that have already accrued are not excused by this section.
23. Changes to These Terms
We may update these Terms from time to time. When we do:
- The “Last updated” date at the top of this page will be revised
- For material changes, we will notify association super_admins by email at least 14 days before the change takes effect
- Changes required by law or regulation, or made for security or fraud-prevention reasons, may take effect immediately or on shorter notice
- Non-material changes are effective when posted to this page
- Continued use of wehna after the effective date constitutes acceptance of the revised Terms. wehna may require affirmative re-acceptance of the revised Terms before you continue to use the platform
- If you do not agree to the revised Terms, you must stop using the platform and close your account
24. General Provisions
- Severability. If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable or, if it cannot be, severed. The remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. Innovelox Ltd. may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets.
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Innovelox Ltd. and supersede all prior communications, marketing statements, and representations.
- No third-party beneficiaries. These Terms do not create any rights for any person or entity that is not a party to them.
- Notices. Notices to Innovelox Ltd. must be sent to hello@wehna.app. Notices to you are sent to your account email address and are effective when sent.
- Relationship of the parties. These Terms do not create any agency, partnership, joint venture, fiduciary, or employment relationship between you and Innovelox Ltd.
